  2. LICENSE AGREEMENT

  6. This is a legal agreement between the end user ("You") and
  7. Hasbro Interactive, Inc., its affiliates and subsidiaries (collectively
  8. "Hasbro Interactive").  This Agreement is part of a package (the "Package")
  9. that includes everything in the Nerf ArenaBlast Demo (the "Demo") and certain
  10. written materials (the "Documentation").

  12. BY INSTALLING THE DEMO, YOU ACKNOWLEDGE THAT YOU HAVE READ ALL 
  13. OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, UNDERSTAND THEM, AND 
  14. AGREE TO BE BOUND BY THEM.  YOU UNDERSTAND THAT, IF YOU OBTAINED 
  15. THE PACKAGE FROM ANY INTERMEDIARY, THAT 
  16. INTERMEDIARY IS NOT HASBRO INTERACTIVE'S AGENT AND IS NOT AUTHORIZED TO 
  17. MAKE ANY REPRESENTATIONS, CONDITIONS OR WARRANTIES, STATUTORY OR 
  18. OTHERWISE, ON HASBRO INTERACTIVE'S BEHALF NOR TO VARY ANY OF THE 
  19. TERMS OR CONDITIONS OF THIS AGREEMENT.

  21. If You do not agree to the terms of this Agreement, promptly delete the
  22. entire Package and all copies from your computer.
  23.  
  24. LIMITED LICENSE:  You are entitled to use this free DEMO for your own use,
  25.  and to transfer reproductions of the DEMO and Documentation
  26. to anyone for its whole use for demo purposes only. 
  27.  
  28. OWNERSHIP; COPYRIGHT:  Title to the DEMO and the Documentation, and
  29. patents, copyrights and all other property rights applicable thereto, shall
  30. at all times remain solely and exclusively with Hasbro Interactive and its
  31. licensors, and You shall not take any action inconsistent with such title.
  32. The DEMO and the Documentation are protected by United States, Canadian
  33. and other applicable laws and by international treaty provisions.  Any rights
  34. not expressly granted herein are reserved to Hasbro Interactive and its
  35. licensors.

  38. OTHER RESTRICTIONS: You may not modify,
  39. enhance, supplement, create derivative work from, adapt, translate, reverse
  40. engineer, decompile, disassemble or otherwise reduce the DEMO to human 
  41. readable form.

  43. HASBRO INTERACTIVE MAKES NO WARRANTY OR CONDITION, EXPRESS OR IMPLIED,
  44. STATUTORY OR OTHERWISE, REGARDING THIS DEMO. 
  45.  
  46. HASBRO INTERACTIVE SHALL NOT BE LIABLE FOR SPECIAL, INCIDENTAL, 
  47. CONSEQUENTIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES, EVEN IF HASBRO 
  48. INTERACTIVE IS ADVISED OF OR AWARE OF THE POSSIBILITY OF SUCH DAMAGES.

  50. GENERAL:  This Agreement constitutes the entire understanding between
  51. Hasbro Interactive and You with respect to subject matter hereof.
  52. Any change to this Agreement must be in writing, signed by Hasbro
  53. Interactive and You. 
  54.  
  55. GOVERNING LAW; ARBITRATION:  This Agreement shall be governed by, and any 
  56. arbitration hereunder shall apply, the laws of the Commonwealth of
  57. Massachusetts, U.S.A., excluding (a) its conflicts of laws principles;
  58. (b) the United Nations Convention on Contracts for the International Sale
  59. of Goods; (c) the 1974 Convention on the Limitation Period in the
  60. International Sale of Goods; and (d) the Protocol amending the 1974
  61. Convention, done at Vienna April 11, 1980.

  63. Any dispute, controversy or claim arising out of or relating to this
  64. Agreement or to a breach hereof, including its interpretation, performance
  65. or termination, shall be finally resolved by arbitration.  The arbitration
  66. shall be conducted by three (3) arbitrators, one to be appointed by Hasbro
  67. Interactive, one to be appointed by You and a third being nominated by the
  68. two arbitrators so selected or, if they cannot agree on a third arbitrator,
  69. by the President of the American Arbitration Association ("AAA").  The
  70. arbitration shall be conducted in English and in accordance with the
  71. commercial arbitration rules of the AAA.  The arbitration, including the 
  72. rendering of the award, shall take place in Boston, Massachusetts, and
  73. shall be the exclusive forum for resolving such dispute, controversy or
  74. claim.  The decision of the arbitrators shall be binding upon the parties
  75. hereto, and the expense of the arbitration (including without limitation 
  76. the award of attorneys' fees to the prevailing party) shall be paid as
  77. the arbitrators determine.  The decision of the arbitrators shall be
  78. executory, and judgment thereon may be entered by any court of competent
  79. jurisdiction.  Notwithstanding anything contained in this Paragraph to the 
  80. contrary, Hasbro Interactive shall have the right to institute judicial
  81. proceedings against You or anyone acting by, through or under You, in order
  82. to enforce Hasbro Interactive's rights hereunder through reformation of
  83. contract, specific performance, injunction or similar equitable relief.
